Terms and Conditions
1. General
1.1) Holistic Animal Health Academy, 1 Montpelier Place, BN1 3BF Brighton, England (hereinafter referred to as “Holistic Animal Health Academy”), provides services in animal health coaching and digital educational products. All services provided by Holistic Animal Health Academy are subject solely to the following Terms and Conditions (hereinafter “Terms”) unless otherwise explicitly agreed in writing.
1.2) Any Terms or other contractual conditions of the other party are hereby explicitly rejected.
1.3) The Terms can be accessed at any time under Terms and Conditions. The version of the Terms valid at the time of contract conclusion applies.
1.4) Holistic Animal Health Academy reserves the right to amend the Terms at any time without giving reasons.
2. **Offer, Conclusion of Contract**
2.1) Offers from Holistic Animal Health Academy are non-binding and subject to change.
2.2) A contract is only concluded upon receipt of a written or electronic order confirmation.
2.3) A contract is also concluded if Holistic Animal Health Academy begins providing services without separate confirmation.
2.4) The contract can also be concluded verbally (via video chat, phone, etc.). If concluded verbally, the customer has no entitlement to receive the contract content in writing unless otherwise agreed.
3. **Prices and Service Provision**
3.1) All our price indications are net prices and are exclusive of statutory VAT.
3.2) Our services are provided at the times specified in the main contract with the customer.
3.3) The customer is obliged to make advance payment unless otherwise agreed with us. The agreed fee is due immediately upon contract conclusion.
4. **Termination, Duration**
4.1) The contract is fixed for the duration agreed in the respective main contract.
4.2) The customer has no right to early or free termination within the contract term.
4.3) The right to extraordinary termination for good cause remains unaffected.
4.4) In the event of early termination by the customer for good cause, our claim to remuneration remains unaffected. The customer may prove that no or significantly less damage has occurred.
4.5) If Holistic Animal Health Academy’s performance is significantly hindered due to force majeure or other unforeseeable circumstances not caused or influenced by Holistic Animal Health Academy, Holistic Animal Health Academy is entitled to provide an alternative equivalent service.
4.6) Holistic Animal Health Academy is not liable for delays due to force majeure or other events that significantly hinder performance beyond a temporary period, even in the case of binding deadlines and dates. This also applies if such delays occur with Holistic Animal Health Academy’s suppliers or subcontractors. In all such cases, Holistic Animal Health Academy is entitled to extend the performance period by the duration of the obstruction plus a reasonable startup time.
5. **Due Date, Delay**
5.1) Payments are due immediately upon invoicing by Holistic Animal Health Academy, but no later than before the agreed service provision.
5.2) If the other party is not a consumer, they are in default without a reminder after seven calendar days following receipt of an invoice or equivalent payment request.
5.3) If the customer is in default with due payments, we reserve the right to withhold further services until the outstanding amount is paid.
5.4) If the customer defaults on an installment payment, we are entitled to terminate the contract extraordinarily and stop services. We will claim as damages the full payment due until the next ordinary termination date, less any saved expenses.
6. **Set-Off, Retention**
6.1) The other party is entitled to set-off and retention rights only if its counterclaims are legally established, undisputed, or acknowledged by Holistic Animal Health Academy.
6.2) The other party is only entitled to exercise a right of retention if their counterclaim is based on the same contractual relationship.
7. **Conduct and Consideration**
7.1) The customer is required to act in a fair and responsible manner. We reserve the right to take legal action and, if necessary, file a criminal complaint for any illegal, improper, or baseless statements about our company and services.
7.2) Customers participating in our programs must ensure smooth and constructive participation. If inappropriate behavior disrupts our programs, the customer will be asked once to correct the behavior. Repeated incidents may result in temporary or permanent exclusion, with our fee claim remaining unaffected.
8. **Usage Rights**
8.1) We hold exclusive copyright exploitation rights to all images, videos, texts, webinars, databases, etc., published by us. Use of these contents is only permitted with our consent.
8.2) The customer receives a simple right of use for the contents in our members’ area, only for the contract duration and contract purposes.
8.3) Access and login data provided to the customer may not be shared with unauthorized third parties. Unauthorized use incurs a contractual penalty of up to €15,000, as determined at our discretion.
8.4) By using our member platforms, the customer consents to behavior analysis and data collection on the platform, including IP and MAC addresses.
8.5) Violations of our business secrets or copyrights will be prosecuted under civil and criminal law.
8.6) The customer does not have usage rights to promotional texts/ads on our websites or within forums/groups.
9. **Reference Advertising**
9.1) The customer agrees that Holistic Animal Health Academy may use their name and logo on its websites and social media channels for advertising purposes without time or geographical limitations.
10. **Data Protection**
10.1) Holistic Animal Health Academy is committed to protecting customers’ privacy and handling personal data confidentially, in compliance with the GDPR and BDSG. Further details are provided in our privacy policy at [https://animal-health.net/privacy](https://animal-health.net/privacy).
10.2) Customers may request access, correction, blocking, or deletion of their data unless legal retention requirements apply.
11. **Liability and Warranty**
11.1) Holistic Animal Health Academy is liable for damages due to simple negligence only in the case of breach of essential contractual obligations (cardinal obligations) or injury to life, body, or health.
11.2) Liability is limited to foreseeable, typically occurring damages.
11.3) No liability is accepted for indirect or consequential damages or lost profits.
11.4) Participation at Own Risk: Participation in practical days, where hands-on work with horses is involved, is at the participant’s own risk. Holistic Animal Health Academy accepts no liability for any injuries that may occur during practical sessions.
11.5) Insurance Recommendation: Participants are strongly advised to obtain personal accident insurance or professional liability insurance for working with horses to ensure sufficient coverage in case of any incidents.
11.6) To the extent that Holistic Animal Health Academy’s liability is excluded or limited, this also applies to personal liability of employees, representatives, and agents.
11.7) We do not assume any liability for the correct or successful application of the skills and knowledge acquired by the customer in the courses and coaching. Similarly, we are not liable for damages incurred by the customer or third parties resulting from the application of the contents taught in the courses and coaching.
12. **Right of Withdrawal for Consumers**
12.1) Consumers have the right to withdraw from the contract within fourteen days without giving a reason.
12.2) The withdrawal period is fourteen days from the contract conclusion date.
12.3) To exercise the right of withdrawal, consumers must inform Holistic Animal Health Academy (address, email, telephone) of their decision.
12.5) If the consumer withdraws, we will refund all payments, including shipping costs, within fourteen days of receiving the withdrawal notice. Digital content must be returned.
13. **Availability and Service Provision**
13.1) Holistic Animal Health Academy strives to keep its services and digital products available at all times. However, maintenance or unforeseen events may cause interruptions.
13.2) Claims for service unavailability are excluded unless the unavailability is within our control.
14. **Copyrights and Licensing Conditions**
14.1) All materials provided in our services and products are copyrighted by Holistic Animal Health Academy.
14.2) The customer receives a non-transferable, simple usage right solely for personal use and the contract duration.
15. **Code of Conduct for Online Courses**
15.1) Participants must communicate respectfully and constructively in online courses.
15.2) Disruptive behavior, insults, or discrimination are not tolerated and may lead to course exclusion, with our fee claim remaining unaffected.
16. **Disclaimer of Liability for Content and Information**
16.1) Holistic Animal Health Academy assumes no liability for the accuracy, completeness, and timeliness of information and content provided.
16.2) Use of information and content is at the customer’s own risk.
17. **Final Provisions**
17.1) If any provision of these Terms is invalid or unenforceable, the validity of the remaining provisions remains unaffected.
17.2) In place of any invalid or unenforceable provision, the effective and enforceable provision that most closely approximates the economic objectives of the original provision shall apply.
